Terms of Use
By using the websites (“Sites”) of Dot Foods, Inc. and affiliates (collectively referred to as “Dot”), you are agreeing on behalf of yourself, as well as any employees or agents whom you authorize to use our Sites, to the following “Terms”:
- LIMITED PERMITTED USE. Subject to these Terms and any applicable site-specific terms, Dot grants you a limited, personal or internal-business, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Sites and content made available through the Sites (“Site Content”) solely for the legitimate purpose for which Dot makes the applicable Site or Site Content available to you. You may make only such temporary or incidental copies as are technically necessary for that authorized use and may print a reasonable number of individual pages solely for your internal use. You may not use the Sites or Site Content for any other purpose. No right, title, or interest is transferred to you, and no license is granted by implication, estoppel, exhaustion, or otherwise. Dot and its licensors reserve all rights not expressly granted. You agree to follow these Terms and all applicable laws and regulations that may govern the Sites.
- PROHIBITED USES. You may not, directly or indirectly, and may not attempt, assist, authorize, encourage, enable, or facilitate any person to:
- access, search, monitor, copy, scrape, crawl, spider, harvest, index, retrieve, extract, download, collect, or acquire any Site or Site Content through any automated means—including bots, robots, scripts, browser automation, agents, scrapers, or similar tools—except to the extent expressly authorized in writing by Dot;
- engage in bulk, high-volume, repeated, or systematic access, querying, copying, downloading, or extraction, or compile, reconstruct, create, or populate any database, directory, dataset, repository, profile, or collection from Site Content;
- use Site Content to develop, train, fine-tune, test, evaluate, benchmark, validate, augment, or improve any artificial-intelligence or machine-learning system; for retrieval-augmented generation; to create embeddings, model weights, training or evaluation data, or synthetic data; or to create or enhance any dataset, unless Dot expressly authorizes that use in writing;
- use any Site or Site Content for competitive intelligence; benchmarking; customer, supplier, product, pricing, market, or operational analysis; solicitation; or the development, marketing, operation, or improvement of any product, service, database, or offering that competes with, substitutes for, or derives commercial value from Dot, its affiliates, or their partners;
- reverse engineer, decompile, disassemble, decode, translate, derive source code from, discover underlying structure or ideas of, or otherwise analyze any Site, software, interface, protocol, algorithm, or functionality, except only to the limited extent such restriction is prohibited by nonwaivable law;
- access or use any API, feed, integration, key, token, endpoint, or machine interface except as expressly authorized by Dot and in accordance with the applicable documentation and additional terms;
- bypass, evade, disable, defeat, avoid, remove, impair, or circumvent authentication, authorization, access controls, robots.txt instructions, rate or usage limits, CAPTCHAs, blocks, filters, monitoring, security measures, or other restrictions;
- scan, probe, test, enumerate, assess, penetrate, exploit, or attempt to discover any vulnerability, account, credential, identifier, endpoint, system, or security weakness without Dot’s prior written authorization;
- introduce, transmit, upload, execute, or distribute malware, ransomware, viruses, worms, Trojan horses, harmful commands, malicious code, or other destructive or disruptive material;
- interfere with, disrupt, damage, degrade, overload, exhaust, or impair any Site, system, network, data, or another user’s use, including through denial-of-service activity or excessive requests;
- obtain, use, share, sell, lease, transfer, or misuse credentials, accounts, sessions, cookies, authentication artifacts, keys, or tokens; engage in credential stuffing or account takeover; or access an account or restricted area without authorization;
- impersonate another person or entity, misrepresent identity, authority, source, affiliation, or endorsement, create deceptive accounts, or use a Site for fraud, phishing, or other deceptive conduct;
- inject, submit, alter, poison, manipulate, falsify, corrupt, delete, suppress, or interfere with Site Content, submissions, outputs, records, product information, or data integrity;
- mirror, frame, republish, syndicate, display, distribute, sell, license, commercialize, or create derivative works, databases, or datasets from any Site or Site Content, or remove or obscure proprietary notices, except as Dot expressly authorizes in writing; or
- use any Site or Site Content for an unlawful purpose or in violation of these Terms, site-specific terms, or applicable law.
- OWNERSHIP, TRADEMARK & COPYRIGHT. You agree and acknowledge that Dot is the owner of the Sites, Dot’s domain names, any registered and unregistered Dot trademarks, logos and service marks used or displayed on the Sites (collectively, the “Dot Marks”), and information, configurations, displays, images, and screens provided by Dot in connection with the Sites (“Dot Content”), and our applicable business partners are the owners of product information, displays, images, and screens provided by Dot’s business partners (“Partner Content”). You will not do anything that might impair or damage those rights. The Sites are protected by copyright, trademark and other laws of the United States and other countries. Any unauthorized use of Dot Content or Partner Content on the Sites may violate such laws. No links may be established to any part of the Sites and no information on the Sites may be framed without our prior written approval. Dot uses YouTube API services and Intercom. You acknowledge and agree to be bound by YouTube’s Terms of Service and Intercom’s Terms & Policies. If you modify or use the Dot Marks, Dot Content, or Partner Content without the express permission of the applicable owner, you will be violating the intellectual property rights of Dot and its business partners.
- WARRANTY DISCLAIMER. Dot does not promise that the Sites will be error-free, uninterrupted, nor that it will provide specific results from its use or the use of any Dot Content, Partner Content, search or link on it. The Sites, Dot Content, and Partner Content are delivered on an “as-is” and “as-available” basis. The information and claims provided on the Sites reflect current information of Dot at the time that they are posted. Over time, however, this information may become out-of-date and no longer accurate. Dot cannot ensure that information and files you download from the Sites will be accurate or free of viruses or contamination or destructive features. Dot disclaims all warranties express or implied, including without limitation, any implied warranty of merchantability or fitness for a particular purpose, whether arising by statute or otherwise in law or from a course of dealing or usage of trade. IN NO EVENT WILL DOT OR ANY RELATED ENTITIES OR INDIVIDUALS BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS OR LOST SAVINGS, EVEN IF A DOT REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY. DOT MAKES NO GUARANTEE OF ANY SPECIFIC RESULT FROM USE OF THE SITES OR USE OF THE DOT SERVICE. IF YOU ARE DISSATISFIED WITH THE SITES, YOUR SOLE REMEDY IS TO DISCONTINUE USING THE SITES.
- SUBMISSIONS. Any and all remarks, suggestions, ideas, creative concepts, graphics, product reviews, or other information communicated through this Sites or otherwise sent to Dot, (collectively the “Submissions”), will forever be the exclusive property of Dot, except to the extent that such Submissions are submitted through the Sites pursuant to or in accordance with the Dot Marketing program, Dot Marketing services, and Innovations (collectively “Marketing Submissions”). By submitting Marketing Submissions, you consent to Dot’s use of the Market Submission in accordance with the Dot Marketing Services Terms & Conditions found here. You agree not to submit any unlawful, threatening, libelous, defamatory, obscene, pornographic or profane material that could constitute or encourage criminal or unlawful conduct. You acknowledge that you are responsible for whatever Submissions you send, and you, not Dot, have full responsibility for the message, including its legality, reliability, and originality.
- SITES LOCATION; APPLICABLE LAW; JURISDICTION; SEVERABILITY. The Sites are controlled by Dot from within the United States of America. Dot makes no representation that use of the Sites is appropriate or available for use in other locations, and access to them from territories where their content is illegal is prohibited. Those who choose to access the Sites from other locations do so on their own initiative and are responsible for compliance with applicable local laws. You may not use or export the Site Content in violation of U.S. export laws and regulations. By using the Sites, you agree that the laws in force in the State of Illinois, without choice of law principles, will govern any dispute involving the Sites and you agree to personal and exclusive jurisdiction and venue in the state courts located in Sangamon County, Illinois, or the United States District Court for the Central District of Illinois, except that Dot may seek temporary, preliminary, or emergency equitable relief in any court of competent jurisdiction. These Terms will not be governed by the United Nations Convention on Contracts for the International Sales of Goods, the application of which is expressly excluded. If any provision of these Terms is found void and unenforceable, it shall not affect the validity and enforceability of any other provision of these Terms. In addition, any provision which is deemed void or unenforceable shall be automatically amended in as minimal a manner as possible so as to make it valid and enforceable.
- REVISIONS. Dot may revise these Terms prospectively. Dot will provide reasonably conspicuous notice of material changes. Continued use after the stated effective date constitutes acceptance only to the extent permitted by law, and Dot may require renewed affirmative acceptance. The then-current Terms are binding on you to the extent permitted by law. Certain provisions of these Terms may be superseded by expressly designated legal notices or terms located on particular pages of the Sites.
- ACCOUNTS AND CREDENTIALS. Credentials are individual, confidential, and non-transferable. You may not share, resell, lease, sublicense, publish, or permit unauthorized third-party use of any account, credential, key, token, or session. You must provide accurate account information, use credentials assigned to you, take reasonable steps to protect them, and promptly notify Dot at websitesupport@dotfoods.com of suspected loss, compromise, unauthorized access, or misuse. If an organization provides or authorizes access, the organization is responsible for administering that access and for activity conducted through accounts it authorizes, except to the extent caused by Dot. Dot may require credential reset, reauthentication, or other reasonable account-protection measures.
- SUSPENSION AND TERMINATION. Dot may, without prior notice and to the maximum extent permitted by law, suspend, restrict, block, disable, revoke, or terminate access to any Site, account, credential, API, integration, feed, key, token, feature, or Site Content if Dot reasonably suspects a violation of these Terms, unauthorized or fraudulent activity, a security threat, harm to any person or system, legal or regulatory risk, or circumstances requiring protection of Dot, its affiliates, business partners, licensors, users, or data. Dot may preserve information reasonably relevant to investigating or enforcing these Terms. Exercise of these rights does not limit any other remedy or any right accrued before suspension or termination.
- RESTRICTED INFORMATION. Information available through authenticated or restricted portions of a Site—including non-public customer-, supplier-, pricing-, product-, transaction-, operational-, security-, business-, or account-specific information—is “Restricted Information” if identified as confidential or if a reasonable person would understand it to be confidential given its nature and the circumstances of disclosure. You may use Restricted Information only for the authorized purpose for which Dot provided access and may disclose it only to personnel who need it for that purpose and are bound by protective obligations at least as restrictive as these Terms. Restricted Information does not include information that you can document was lawfully known without restriction, independently developed without use of Restricted Information, lawfully received from an authorized third party, or publicly available through no breach. Legally compelled disclosure is permitted if you provide advance notice where lawful and reasonably cooperate in seeking protection.
- APIS AND MACHINE INTERFACES. APIs, feeds, integrations, keys, tokens, and other machine interfaces may be accessed and used only when expressly authorized by Dot and only within the authorized scope, documentation, limits, and additional terms. You may not share keys or tokens, exceed authorized calls or fields, use proxy or rotating identities to avoid restrictions, extract beyond the approved scope, retain data beyond an authorized period, or use an interface or its output to create or enhance a competing product, service, database, or dataset. Applicable site-specific API or integration terms control in the event of conflict.
- SECURITY TESTING. Unless expressly authorized in advance in writing by Dot, you may not scan, probe, test, assess, penetrate, exploit, or attempt to defeat any security, authentication, authorization, or access-control measure, or attempt to discover or exploit vulnerabilities. If Dot publishes a vulnerability-disclosure or security-research program, that program controls qualifying activity conducted strictly within its stated scope.
- REMEDIES. Unauthorized access, scraping, extraction, misuse of Restricted Information, interference with systems or data, or infringement or misappropriation of intellectual-property rights may cause harm for which monetary damages may be inadequate. Dot may seek temporary, preliminary, and permanent injunctive or other equitable relief, without limiting any other available remedy and without waiving any applicable bond requirement. Remedies are cumulative. To the extent recoverable by law, a violating user must reimburse Dot for reasonable, documented costs of investigation, containment, remediation, preservation, enforcement, and reasonable attorneys’ fees caused by the violation. Nothing limits claims or remedies available under contract, statute, tort, intellectual-property, trade-secret, computer-crime, or other law.
- INDEMNIFICATION. To the extent permitted by law, you will defend, indemnify, and hold harmless Dot, its affiliates, and their respective officers, directors, employees, agents, licensors, business partners, successors, and assigns from third-party claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from your violation of these Terms; unauthorized access or use; misuse of Site Content or Restricted Information; infringement or misappropriation; malicious code or security incidents caused by you; your submissions; or your fraud, unlawful conduct, or misconduct. Dot may control the defense with counsel of its choice. You may not settle a claim in a manner that admits fault by, imposes obligations on, or does not fully release an indemnified party without Dot’s written consent.
- ACCEPTANCE. By clicking “I Agree,” creating or using an account, obtaining authorized credentials or machine access, or otherwise affirmatively accepting these Terms when presented, you agree to be bound individually and, if acting for an organization, represent that you have authority to bind that organization.
- MISCELLANEOUS. Site-specific terms control over these Terms solely as to the subject matter expressly covered. These Terms and incorporated site-specific terms constitute the applicable agreement regarding Site use. You may not assign or transfer rights without Dot’s written consent; Dot may assign these Terms. No waiver is continuing. Invalid provisions will be enforced to the maximum lawful extent and severed only as necessary. Provisions concerning ownership, restricted information, prohibited uses, indemnity, remedies, governing law, forum, accrued rights, and provisions intended by their nature to survive will survive termination.
